Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of Prowpt.ai ("Prowpt", "the Service", "we", "us", or "our"), a platform that enables users to build, edit, and publish web applications using AI-powered tools. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1Eligibility & Account

You must be at least 16 years old to use the Service. By registering, you represent that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@prowpt.ai if you suspect unauthorized access.

2The Service

Prowpt.ai provides AI-powered tools to generate, edit, and publish web applications. The Service includes a code editor with AI assistant, project management, workflow automation, user management for published apps, asset storage, custom domains, API key management for agent integrations, and related features. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3Subscriptions & Billing

The Service offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

• Prices are displayed in Euros (EUR) and include applicable taxes where required
• You may cancel at any time; your subscription remains active until the end of the current billing period
• We do not offer prorated refunds for partial billing periods
• If a recurring payment fails, you will enter a grace period of 7 days, after which your account may be suspended until payment is resolved
• Credit packs (one-time purchases) are non-refundable once purchased

4Credits & Fair Usage

AI-powered features (app generation, assistant conversations, workflow executions) consume credits. Monthly credits are included with your subscription tier and reset each billing cycle. Unused monthly credits do not roll over. One-time credit packs carry over until used.

• Credit consumption varies by feature and complexity
• We reserve the right to adjust credit costs with 30 days' notice
• Automated or scripted mass-generation intended to exhaust credits without genuine use constitutes abuse

5Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Generate, distribute, or publish content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Use the Service to create phishing pages, malware distribution sites, scam pages, or any fraudulent content
• Attempt to probe, scan, or test the vulnerability of the Service or breach any security or authentication measures
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, overload, or interfere with the Service beyond the provided API and MCP integrations
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service to infringe upon the intellectual property rights of others
• Resell, sublicense, or redistribute access to the Service without our written consent
• Generate content designed to exploit, harm, or manipulate minors in any way
• Use AI features to generate discriminatory, extremist, or deliberately misleading content

6Misuse, Suspension & Termination

We take platform integrity seriously. If we determine, at our sole discretion, that your use of the Service constitutes misuse or violates these Terms:

• Your account will be suspended immediately and permanently, without prior notice
• All associated projects, data, and published applications will be removed
• No refund will be issued — including for unused subscription time, credits, or one-time purchases
• We may report illegal activity to law enforcement authorities
• We reserve the right to pursue legal remedies for damages caused by misuse

Examples of misuse include but are not limited to: generating harmful or illegal content, attempting to exploit the platform for unauthorized access to third-party systems, using the Service for spam or phishing, systematically abusing AI credits or API rate limits, and creating applications that violate applicable laws.

7Intellectual Property

You retain ownership of the content, code, and data you create using the Service. Prowpt.ai does not claim ownership of your projects. However, you grant us a limited, non-exclusive license to host, display, and transmit your content solely for the purpose of providing the Service (e.g., publishing your app, running workflows). The Prowpt.ai platform, brand, interface, and proprietary tools remain our exclusive intellectual property.

8Published Applications

When you publish an application through the Service, you are responsible for its content and compliance with applicable laws. Published apps are hosted on our infrastructure and served under your chosen subdomain or custom domain.

• You are solely responsible for the content of your published apps, including user-facing text, images, and functionality
• Apps must comply with all applicable laws in the jurisdictions where they are accessed
• We reserve the right to remove any published app that violates these Terms or applicable law
• If your app collects personal data from end users, you are the data controller for that data and must provide your own privacy policy

9Stripe Connect & Payments in Published Apps

If you enable Stripe Connect to accept payments within your published apps, additional terms apply:

• You must comply with Stripe's Terms of Service and Connected Account Agreement
• Prowpt.ai charges a platform fee on transactions processed through connected accounts (varies by subscription tier)
• You are responsible for all tax obligations, refund policies, and customer disputes related to transactions in your apps
• We may suspend payment processing for apps that violate these Terms or Stripe's policies

10API & Agent Integrations

The Service provides API keys and MCP (Model Context Protocol) tools for programmatic access. When using these integrations:

• You are responsible for the security of your API keys — do not share them publicly or embed them in client-side code
• API access is subject to rate limits based on your subscription tier
• Automated actions performed by agents on your behalf are your responsibility and consume resources as if performed manually
• We may revoke API keys that are used for abuse or that compromise platform security

11Availability & Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure. AI-generated code and content may contain errors and should be reviewed before production use.

12Limitation of Liability

To the maximum extent permitted by law, Prowpt.ai and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total aggregate liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13Indemnification

You agree to indemnify, defend, and hold harmless Prowpt.ai and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) content you create or publish, (c) your violation of these Terms, or (d) your violation of any third-party rights.

14Governing Law & Disputes

These Terms are governed by the laws of Portugal. Any disputes shall be resolved in the courts of Porto, Portugal, except where EU consumer protection regulations grant you the right to bring proceedings in your country of residence. The contracting entity is PROWPT AI, UNIPESSOAL LDA. (NIPC 519359437), based in Porto, Portugal. For EU residents, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/odr.

15Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service before the effective date.
